1. Eligibility & Account Registration
You must be at least 18 years old and capable of entering into a binding contract to use RealTech CRM.
Keep account information accurate and up to date, safeguard your credentials, and notify us promptly of any unauthorised use or security incident.
2. Key Definitions
- "Customer Data" means data submitted to the Services by you or your users (leads, contacts, notes, call logs, recordings, transcripts, tasks, files).
- "Output" refers to AI-generated suggestions, summaries, scores, scripts, recommendations, or other generated content.
- "Order Form" is a written or electronic ordering document specifying subscription plan, term, pricing, and usage limits.
3. Subscription Plans, Fees, and Taxes
RealTech CRM may be offered as trial, freemium, or paid plans. Fees are billed in advance unless stated otherwise and are non-refundable except where the law requires.
Taxes such as GST, VAT, or sales taxes are additional. Late or overdue payments may result in suspension, interest, or collection costs as permitted by law.
4. License Grant
We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes during the subscription term. All other rights remain with RealTech and its licensors.
5. Acceptable Use
You will not reverse engineer, attempt to access unauthorised areas, violate laws, infringe intellectual property, deploy malware, or benchmark/compete unfairly using the Services.
We reserve the right to monitor usage and suspend or terminate access for violations of these Terms or applicable laws.
6. Customer Data & Responsibilities
- You retain ownership of Customer Data while granting us a limited licence to process it solely to deliver, secure, and improve the Services.
- You are responsible for data accuracy, lawfulness, and obtaining necessary permissions, including for call recording, marketing, and privacy obligations.
- Avoid uploading special category data unless lawful and necessary; you assume heightened obligations when doing so.
7. AI Features and Output
AI features may be experimental. Outputs may be inaccurate or incomplete; you must review and determine suitability.
Do not treat AI output as legal, financial, or professional advice. Ensure AI-assisted communications comply with telemarketing, marketing, and privacy laws.
8. Security & Data Protection
We implement reasonable technical and organisational measures to protect RealTech CRM and Customer Data. Our Privacy Policy and any applicable DPA describe these protections in more detail.
9. Third-Party Services
RealTech CRM integrates with third-party tools (telephony, email, analytics, storage, etc.). Your use of third-party services is governed by their terms and policies.
We are not responsible for third-party availability or practices but may exchange data as you direct when integrations are enabled.
10. Intellectual Property
The Services, including software, interfaces, designs, trademarks, and documentation, are owned by RealTech or its licensors. Feedback may be used by us without restriction.
11. Confidentiality
Each party must protect the other's confidential information, use it only to perform obligations, and restrict disclosure to authorised personnel under similar confidentiality obligations.
Confidentiality does not extend to information that is public, independently developed, or lawfully obtained without breach.
12. Service Availability & Support
We strive for high availability but do not guarantee uninterrupted service or the correction of all defects. Support commitments follow your plan or Order Form.
13. Suspension & Termination
We may suspend the Services if:
- There is suspected security risk, fraud, abuse, or unlawful activity.
- We are required to do so by law or court order.
- Fees are overdue beyond permitted grace periods.
Termination outcomes
- Your right to use the Services ends immediately upon termination.
- We handle Customer Data as described in our Privacy Policy and retention practices.
- Obligations that should survive (IP, confidentiality, disclaimers, liability, indemnity, governing law) continue after termination.
14. Disclaimers
To the maximum extent permitted by law, the Services and AI outputs are provided “as is” and “as available” without warranties of merchantability, fitness for purpose, non-infringement, accuracy, or uninterrupted operation.
15. Limitation of Liability
We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or lost profits, revenues, data, goodwill, or business opportunities.
Our total liability is limited to fees paid by you in the twelve (12) months preceding the claim, except where law prohibits such limitation.
16. Indemnification
You agree to indemnify and hold RealTech harmless from claims arising out of Customer Data, misuse of the Services, violations of law, use of AI outputs, or failure to secure account credentials.
17. Compliance with Laws
You are responsible for complying with all laws applicable to your use of RealTech CRM, including privacy, marketing, consumer protection, export control, and telecommunication rules.
18. Changes to Services and Terms
We may modify the Services and these Terms. Material updates will be communicated via email, in-app notice, or on our website. Continued use after the effective date signifies acceptance.
19. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Subject to mandatory protections, disputes are subject to the exclusive jurisdiction of courts located in New Delhi, India.
